Résumé / Abstract : La réfaction constitue une sanction qui peut être mise en œuvre aussi bien en présence d'un déséquilibre contractuel que d'une illicité contractuelle pour sauver le contrat d'une inexécution ou d'une annulation. La réfaction s'applique donc au prix de vente, aux clauses de non concurrence, à la durée d'une stipulationà tout élément interne au contrat qui déséquilibre le rapport contractuel ou qui le rend illicite. La généralisation de la réfaction a remis en cause les fondements originellement proposés. La présente recherche nous a permis de relever que le fondement de l'équité et celui de la bonne foi pris conjointement, peuvent justifier toutes les applications de la réfaction. La réfaction est une émanation du pouvoir modérateur et créateur du juge qui s'inscrit dans un esprit humaniste, mais le juge n'a pas le monopole de son application. Les contractants procèdent aussi à la réfaction du contrat en dehors de toute disposition législative les y autorisant. La réfaction est mise en œuvre de manière unilatérale par le contractant lésé, à l'image d'une sanction privée individuelle. La généralisation de la réfaction par la jurisprudence et par les contractants résulte de l'inadaptation de notre législation à la logique contractuelle actuelle et explique le plaidoyer pour la consécration de la réfaction par un texte législatif qui aurait pour but non seulement de traduire les mutations contractuelles et les pratiques judiciaires qui en découlent, mais aussi d'uniformiser notre législation avec les législations étrangères et les Principes européens du droit des contrats.

Résumé / Abstract : The (refaction) of the contract, initially defined as "the faculty to reduce the price stipulated in a contract", and justified by the insufficiency of the contractor's service, tends to generalizing. Applications of refaction by jurisprudence reveal that its field is not exclusively the one of commercial sale anymore, but extends to various other domains. Thus the genuine nature of refaction has revealed itself, through jurisprudential decisions. Refaction is a sanction that can be implemented whether in the case of a contractual unbalance or of a contractual (illeicity) in order to keep the contract from a non-execution or cancellation. Thus, refaction is applied on the sales prices, non-competition clauses, duration of a stipulation to any element, part of the contract, that unbalances the contractual relationship, or that makes it illicit. The generalization of refaction has questioned the originally proposed bases. The present research permitted to note that the bases of equity and good will, could justify together all the applications of refaction.The refaction is an emanation of the moderating and creating power of the judge, acting in a humanist state of mind; but the judge doesn't have the monopole of its application. The contracting parties also proceed to the contract's refaction, excluding any legislative disposition allowing it. The injured contracting party, in the image of a private individual sanction, unilaterally implements Refaction.Generalization of refaction by jurisprudence and by the contracting parties results from the incapacity of our legislation to adapt to the present contractual logic, and explains the defence for establishment of refact
